These Terms and Conditions (hereinafter referred to as the “Terms and Conditions”) govern the relationship between you (hereinafter referred to as the “you”, “yours” or the “User”) and [Traders Checkpoint ltd] (hereinafter referred to as “we”, “us”, “our” or the “Traders CheckPoint”). The Terms and Conditions create a legally binding relationship between the User and Traders CheckPoint.

Please make sure that you have read the Terms and Conditions carefully. By using Traders CheckPoint, you agree that you have read, understood and accepted the Terms and Conditions and any policies that are referred to herein. All such policies are incorporated herein by reference. 

Please do not use Traders CheckPoint if you have not read, or do not agree with these Terms and Conditions.

1. INTRODUCTION

1. Traders CheckPoint is a limited liability company established under the laws of Companies House [12151222], having its registered office at [14 Hillstreet  Essington Wolverhampton WV11 2bw]. 

2. Traders CheckPoint provides the following services: (i) it provides a search directory of a large number of qualified tradesman who will be ready to assist the potential purchasers; (ii) allow the purchasers to tender a job and get matched with the right traders; and (iii) allow traders to display their services within the directory and get job notifications (hereinafter collectively referred to as the “Services”). 

3. You hereby agree, acknowledge and understand that Traders CheckPoint is not in the business of selling and purchasing services. It just connects different purchasers with traders through a directory system. All third party traders listed on Traders CheckPoint are responsible for performing the respective services themselves. We do not take any responsibility of the services performed by the traders itself in any manner whatsoever. We further disclaim responsibility for the reviews that are posted on the website in relation to any services which is being offered by any third party trader.

4. You hereby agree and acknowledge that any information provided on the website in relation to services of the trader has not been evaluated or verified by any expert or authority. 

5. To use and avail the Services, the User, either a purchaser or a trader, shall be required to register for an account. The subscription prices, if any, of the Services have been listed on Traders CheckPoint. These prices are subject to change without notice.

6. We attempt to ensure that the description of the Services listed on Traders CheckPoint is as accurate as possible. However, we disclaim liability with respect to accuracy, completeness and reliability of such descriptions.

2. ELIGIBILITY CRITERIA

1. Only natural persons who are of the age 18 or above shall be authorized to use Traders CheckPoint.  You must only use Traders CheckPoint if you can knowingly and willingly enter into contracts under applicable law. You may be asked additional information for verification of your age. We are entitled to suspend or terminate your account at any given time if we suspect that Traders CheckPoint is being used by a minor. 

2.  If you are using Traders CheckPoint on behalf of a business, you hereby warrant and represent that you are authorized to bind the business to these Terms and Conditions. 

3. ELECTRONIC COMMUNICATIONS

When you use Traders CheckPoint and access the Services therein, you may be communicating with us or our representative electronically. Therefore, you consent to receive communications from us electronically, which shall include but is not limited to texts, emails, push notifications or messages.

4. USE OF TRADERS CHECKPOINT

1. You will need to create an account on Traders CheckPoint to use the website. You will be subjected to the terms of the privacy policy with respect to the information that you will provide to us for the registration of your account.

2. You hereby represent and warrant that you will provide true, accurate and complete information in creation of your account, and in the event of any change, provide us all such updated information.

3. You shall not use Traders CheckPoint (i) in such manner which impairs Traders CheckPoint or other party’s use of this Traders CheckPoint in any manner whatsoever; (ii) use any automatic device, Traders CheckPoint or software which is for the purposes of copying any information listed on Traders CheckPoint; (iii) use any process on Traders CheckPoint in an unauthorized manner, which includes but is not limited to disassembling of the software and Traders CheckPoint; (iv) attempt to breach the authentication and security measures of Traders CheckPoint, or its any database or server.

4. Traders CheckPoint shall only be used for lawful purposes. You shall not use Traders CheckPoint (i) in any manner which is in breach of the Terms and Conditions, any other applicable laws, rules and regulations; (ii) to send, receive, download, upload or use material which is incompliant with the Terms and Conditions; (iii) for transmission of any material which is harmful for Traders CheckPoint or Traders CheckPoint. These materials may include Trojan horses, viruses and other related cyber defects; (iv) for impersonation of any other person by creating misleading identity with the intention to defraud or mislead others in any manner whatsoever; or (v) in a manner to interfere with the use and enjoyment of other users of Traders CheckPoint, or in any way which could disable or damage the use of Traders CheckPoint.

5. DELIVERIES AND ORDERS

1. As part of the Services, Traders CheckPoint provides the User the ability to purchase or sale their services. We only act as a technology platform where such orders can be placed and such orders are transmitted to the third party traders. We only serve as a communication medium. We do not provide any service and therefore, do not control the performance of such services. 

2. We use our reasonable efforts to verify the third party traders, however, we do not guarantee the same. It shall be the responsibility of the Users to report any suspicious activity which may be taking place.

3. We do not assume any responsibility for the services that are sold through Traders CheckPoint by the traders. All deliveries are managed and processed by the third party traders. Any and all claims and refunds shall lie against them and not against Traders CheckPoint. 

6. MODIFICATIONS AND ERRORS

1. Traders CheckPoint shall have the absolute, unrestricted and unfettered right to amend, alter, change, discontinue and temporarily or permanently suspend Traders CheckPoint either fully or partially at any point in time. Traders CheckPoint shall not be responsible in any manner to any party for damages incurred as a result of such alteration, suspension or discontinuation. 

2. We do not guarantee that Traders CheckPoint or the Services therein are error free. The website or the Services maybe subject to errors and we do not take any responsibility for the same and for any such damage that you may incur as a result of using the same.

7. INTELLECTUAL PROPERTY

1. All the content and information which is made available through Traders CheckPoint, such as graphics, texts, button icons, logos, images, audio clips, data compilations, digital downloads and the software is the sole property of Traders CheckPoint. The same is also copyrighted and trademarked under the relevant applicable laws. The User agrees that all intellectual property rights and proprietary rights vests solely in Traders CheckPoint, and the User shall not claim any right, title or interest in such intellectual property for any reason whatsoever. As such, the logo, name, slogans and design of Traders CheckPoint is the trademark of Traders CheckPoint and therefore, you shall not use the same for any reason whatsoever without the prior written consent of Traders CheckPoint. All other trademarks that you come across on the website are the trademarks of the owners and you shall not infringe upon the same for any reason whatsoever. You shall indemnify Traders CheckPoint for any damage that it incurs as a result of breach of this intellectual property clause.

2. Traders CheckPoint further does not grant any express or implied right to the User under any trademarks, copyrights or any other intellectual property connected with Traders CheckPoint and the Services. Using or copying the same without Traders CheckPoint’s permission, except to the extent of using it for the purposes of this Agreement, shall be violation of applicable laws and entitle Traders CheckPoint to applicable damages, without limitation to other remedies under the law and this Agreement.

8. REPRESENTATIONS 

1. The User hereby represents and warrants that: (i) it has the full right and power to use Traders CheckPoint, to perform all the obligations hereunder, and to grant the rights without violating the legal or equitable rights of any other person or entity, and; (ii) the usage of Traders CheckPoint will not conflict with, or result in a breach of, or default under the terms and conditions of any other agreement and/or arrangement to which the User has agreed to, or is a party to, or is legally bound to that effect.

9. INDEMNIFICATION

1. The User hereby covenants, agrees and confirms that it shall indemnify, defend, and hold harmless Traders CheckPoint and their respective partners, subsidiaries, affiliates, successors and assigns and their respective directors, officers, employees and agents from all liabilities, claims, suits, actions, demands, settlements, losses, judgments, costs, damages and expenses (including, without limitation, reasonable attorneys’, accountants’ and experts’ fees) arising out of or resulting from, in whole or in part: (i) any act, error or omission, whether intentional or unintentional, by the User or its officers, directors, employees or sub-administrators, related to or arising out of its obligations and responsibilities under these Terms and Conditions; or (ii) an actual or alleged breach by the User of any of its representations, warranties or covenants contained in this Terms and Conditions.

10. TERMINATION OF ACCOUNT

1. You hereby agree and acknowledge that Traders CheckPoint shall have the absolute and unfettered right to terminate or suspend your account without any prior notice for any reason whatsoever. This includes, but is not limited to your breach of the Terms and Conditions or any other policies referred to therein, breach of any applicable laws or prolonged inactivity of the account.

2. Upon termination of your account, your access to the Services will be denied. We shall be entitled to take all steps to prevent you from using Traders CheckPoint. We shall further be entitled to take investigative measures regarding any violations made by you.

11. INDEPENDENT CONTRACTOR

1. Nothing contained herein shall be deemed or constructed by either Party hereto or any third party to create any rights, obligations or interests in any third party, or to create any association, partnership, joint venture, the relationship of a principal and agent, the relationship of an employer and employee, or any fiduciary relationship of any kind between the Parties hereto. It is hereby agreed that all obligations performed by either Party to any Party hereunder are as an independent contractor.  

12. NON-DISPARAGEMENT

1. The User hereby undertakes that neither the User nor any person acting directly or indirectly on his/her behalf shall at any time, whether in public or in private, make, imply, insinuate, state or express any negative, false, defamatory, derogatory or disparaging remark, comment, opinion or statement in respect of Traders CheckPoint or its Services, products, clients, officers, employees or agents. The User shall take no action which is intended, or would reasonably be expected, to harm Traders CheckPoint or its Services, product, clients, officers, employees or agents, or harm the reputation of any of the foregoing or which would reasonably be expected to lead to unwanted or unfavorable publicity for any of the foregoing.

13. DISCLAIMER

1. WE SHALL NOT BE LIABLE FOR ANY DAMAGE THAT MAY OCCUR AS A RESULT OF YOUR USE OF TRADERS CHECKPOINT, EITHER OCCURRING IN CONTRACT OR TORT, WHETHER FORESEEABLE OR NOT. PARTICULARLY, IN NO EVENT WHATSOEVER, TRADERS CHECKPOINT, ITS SUBSIDIARIES, AFFILIATES, PARTNERS, SUBCONTRACTORS, LICENSORS, EMPLOYEES, DIRECTORS AND/OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR DIRECT, INDIRECT, EXEMPLARY, SPECIAL, CONSEQUENTIAL, PUNITIVE, INCIDENTAL OR ANY OTHER KIND OF DAMAGES, CLAIMS, INJURIES OR LOSSES WHICH ARISE DIRECTLY OR INDIRECTLY FROM THE USE OF TRADERS CHECKPOINT, IRRESPECTIVE OF WHETHER SUCH DAMAGE IS DUE TO THE RESULT OF ERRORS, DEFECTS, VIRUSES, INTERRUPTIONS OR DELAYS IN TRADERS CHECKPOINT AND/OR THE SERVICES.

2. THE SERVICES AND THE INFORMATION AND CONTENT IN CONNECTION THERETO PROVIDED TO THE USER BY TRADERS CHECKPOINT UNDER THIS AGREEMENT ARE PROVIDED ON AN AS-IS AND WHERE-IS BASIS WITHOUT ANY WARRANTIES OR REPRESENTATIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF QUALITY, PERFORMANCE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 

3. ALL CONTENT AND INFORMATION PROVIDED THROUGH THE WEBSITE IS FOR INFORMATIONAL PURPOSES ONLY. SUCH INFORMATION SHALL NOT BE TREATED AS MEDICAL OR LEGAL ADVICE. NO SUCH INFORMATION SHALL CREATE ANY IMPLIED OR EXPRESS GUARANTEE OR WARRANTY.

14. GOVERNING LAW AND DISPUTE RESOLUTION

1. This Agreement and all matters arising out of or in connection with this Agreement shall be governed by and construed in accordance with the laws of the []. Any dispute arising out of or in connection with this Agreement shall be resolved amicably, failing which it shall be referred to the courts of [].

15. THIRD PARTY LINKS

1. Traders CheckPoint may contain link to third party Websites. Please click on these links at your own risk. We do not assume any liability for the content on these links. We shall not be responsible for any damage that you may incur as a result of visiting these pages.

16. GENERAL PROVISIONS

1. These Terms and Conditions shall constitute the entire agreement and understanding amongst the Parties hereto and supersedes all prior correspondence in this regard.

2. A waiver of any provision of these Terms and Conditions or of any breach thereof by either Party hereto shall not be deemed a waiver of any repetition of such breach or a waiver of compliance with a term or condition or in any way affect any other terms or conditions hereof, unless signed by the Party giving such waiver. 
3. The failure of either Party to enforce any of the provisions of these Terms and Conditions shall not be construed to be a waiver of such provisions nor of the right of the given Party thereafter to enforce each and every such provision.

4.  These Terms and Conditions and all of its provisions are binding on and inure to the benefit of the Parties and their respective successors and permitted assigns, but neither these Terms and Conditions nor any of the rights, interests, or obligations hereunder may be assigned by either Party without the prior written consent of the other.

5. In case any provision in these Terms and Conditions are rendered invalid, illegal or unenforceable for any reason whatsoever, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
